We are seeking an experienced and authoritative leader who brings deep expertise in governance, legal and regulatory matters, alongside the judgement and credibility to operate at the most senior levels of the institution. You will be a trusted adviser to the Chair of Council, Council members and the Vice-Chancellor, supporting effective governance, informed decision-making and strong institutional accountability.

This is a role that requires both precision and perspective: ensuring that our constitutional and regulatory responsibilities are met, while also contributing to the wider leadership and strategic direction of the University. You will play a vital role in maintaining strong and effective relationships between the governing body and the executive, and in ensuring that governance supports, rather than constrains, institutional ambition.

We will deliver the University’s research and knowledge mobilisation agenda to improve research impact through two research institutes that will broadly centre on Health and Social Care, and Digital Innovation, Engineering and Sustainability. Strengthening industry partnerships and embedding research-informed practice into online programme design will help position Bradford as a competitive and values-led provider of learning.

We will modernise and streamline institutional operations, ensuring financial sustainability and long-term resilience. This includes aligning services with student needs, enhancing accountability and simplifying systems and processes to support growth and profitability. Making a difference

We change lives – in 2024-25, our students received £2.8m in bursaries and scholarships, making higher education more accessible to a wider cohort, especially those from disadvantaged backgrounds. We offer a range of scholarships for many underrepresented groups, from care leavers and asylum seekers to women in science and technology and white working-class males.

We drive innovation – in the last financial year, we were awarded £12.8m in research grants and knowledge exchange bids, delivering an array of innovative projects, from using artificial intelligence and facial recognition technology to speed up organ donor transplants (with clinical trials due to start in 2026) to working with over 200 schools to increase physical activity among young people as part of the Sport England-funded Creating Active Schools initiative.

Main Purpose of the Role

The University Secretary is a Council appointment who shall act as Secretary to the Council, which is the primary governing body of the University, under the direction of the Chair of Council. They will also act as Secretary to the Court, the Senate and the Assembly, and shall perform, under the direction of the Chair of Council and Vice-Chancellor such other duties as the Council shall prescribe (as set out in 7.1 of the University’s Statutes).

The University Secretary will assume executive and strategic responsibility for the University’s governance, legal and regulatory framework. The postholder will act as Secretary to Council and serve as the independent adviser to the Chair of Council (in supporting them to fulfil their duties in accord with their powers as set out in the University Statutes) – ensuring that governing body members are fully aware of the appropriate rules, regulations and procedures.

The postholder’s primary responsibility is for ensuring that the University’s governance and constitutional arrangements are effective, robust and aligned to the University’s Charter, Statutes, Ordinances regulatory obligations and strategic direction.

In addition, the role will provide senior legal and strategic advice on major institutional decisions, strategic partnerships and complex contractual or commercial arrangements, ensuring that legal and governance judgement is brought in early to support effective negotiation, risk management and institutional value.

The postholder will lead the University’s Risk Management Framework (approval of the Risk Management Framework is a responsibility of the Council that can not be delegated), strengthening institutional resilience, organisational readiness and the University’s ability to respond confidently to institutional risk and change.

The postholder will lead and manage the Directorate of Governance, Legal and Compliance and serve as a member of the University Executive Team.  They will be a trusted advisor to the Chair of Council, to whom they will report in respect of governance. They will also advise the Vice-Chancellor and their executive team on legal, compliance, risk and regulatory matters and will provide collegiate and visible leadership across the University in support of the University’s values.

Key Accountabilities

  • Ensure that the University’s governance is effective, well-informed and aligned with the CUC Code of Governance, the University’s Charter and Statutes, Ordinances and wider sector expectations.
  • Ensure that the University has assurance arrangements in place to support oversight of regulatory compliance, institutional accountability and legal obligations.
  • Ensure that the University’s risk management framework is continuously reviewed by the Executive and Council, and aligned to the University’s strategic priorities and risk appetite.
  • Ensure that the University has access to effective legal counsel and strategic legal judgement in support of major institutional decisions, partnerships and complex contractual or commercial matters.

Main Duties and Responsibilities

University-wide Strategic Leadership

  • Monitor and oversee the University’s governance framework providing assurance that it reflects sector best practice, regulatory expectations and the principles of good governance (including the CUC Code of Governance, the University Charter and Statutes, and the Nolan Principles).
  • Act as Secretary to Council, ensuring effective operation of Council and its committees, including agenda planning, governance advice and compliance with constitutional requirements.
  • Represent the University externally on governance, legal and compliance matters, contributing to sector developments and partnerships.
  • Act as a core member of the University Executive Team, contributing to the overall strategic leadership, direction and governance of the institution.
  • Ensure that provision of expert, independent advice on governance, legal, risk, regulatory and compliance matters.
  • Monitor and oversee the University’s compliance with all relevant regulatory bodies (including OfS, UKVI, CMA, OIA, Companies and Charities and ICO), ensuring robust systems of assurance.
  • Work closely with Executive colleagues to ensure alignment between governance, legal judgement, regulation, strategy, risk and operational delivery

Governance

  • Oversee and provide strategic direction and leadership for the University’s corporate governance, ensuring that Council and its sub-committees are appropriately served to meet best practice in respect of all legal, fiduciary and regulatory standards.
  • Provide assurance that the University meets all relevant ethical and compliance requirements, ensuring decision-making observes the Nolan Principles and is informed by the University’s values.
  • Provide high quality, expert and independent professional advice and guidance ensuring that the business of the University Court, the Council and its sub-committees, and the Senate, is conducted in accordance with the University’s Charter, Statutes, its Ordinances and Regulations.
  • Maintain strong and productive relationships between Council and the senior leadership and management of the University.
  • Maintain a register of conflicts of interests of members of Council (and its sub-committees) and advise the Chair of Council and the Vice-Chancellor in respect of any real or potential conflict of interests arising for members of Council (and its sub-committees) or for the Vice-Chancellor.
  • Provide guidance to the Chair of Council and Council members and committees on their responsibilities under the law (including obtaining legal advice as required), the Charter and Statutes and the Standing Orders and the Rules of the University to which they are subject and how these should be discharged.
  • Ensure the timely and transparent appointment and re-appointment of members of Council, Senate and their committees as prescribed in University regulations.
  • Coordinate, in consultation with the Chair of Council and Vice-Chancellor, professional development activities for members of Council and its committees/boards.
  • Ensure the appropriateness of the University’s constitutional arrangements, including maintaining and interpreting the Charter, Statutes, Ordinances and Regulations of the University, and that the responsibilities of the governing body are appropriately delegated and codified.
  • Ensure that the University complies with all relevant legal and regulatory requirements including bodies such as the OfS, UKVI, OIA, the Information Commissioner, and the Competition and Markets Authority through providing timely information and recommendations for action by Council and the Executive.
  • Support Council in the governance of strategic partnerships and material opportunities, including due diligence, approval thresholds, monitoring, risk appetite and exit arrangements
  • Provide assurance to Council that the Students Union is well-governed, advice to the CEO of the Students’ Union on governance matters and to lead on the University’s responsibilities in relation to the governance of the Students’ Union.
  • Ensure that the University has an effective internal audit function.

Legal and Compliance

  • Ensure the work of the University is fully informed by high-quality, professional legal advice and counsel.
  • Advise the Vice-Chancellor, the University Executive Team, the University’s Council and its sub-committee, and other relevant University bodies on the impact of existing, potential and forthcoming legislation and to oversee and co-ordinate the University’s response to actual or potential changes in the external legislative, policy, compliance or regulatory framework.
  • Provide strategic legal and governance advice on major institutional decisions, strategic partnerships, transnational education and complex contractual or commercial arrangements, ensuring early-stage involvement in negotiation and structuring.
  • Oversee the University’s compliance with all relevant legislative, policy, regulatory constitutional and other requirements, ensuring that postholders with responsibility for compliance have effective systems and processes in place to provide strong assurance of meeting all compliance requirements.
  • Ensure that the University maintains all aspects of information compliance, including with data protection and freedom of information legislation, and to direct the University’s arrangements for responding to information and data access requests.
  • Oversee policy on fraud, bribery, whistleblowing, and misconduct in academic research, among others, to ensure that allegations are dealt with and reported in accordance with the University’s policies and any relevant statutory or regulatory principles.
  • Ensure that the University’s policy framework remains fit for purpose and up to date.
  • Ensure the University appropriately upholds its responsibilities in respect of freedom of speech.

Directorate Leadership and Management

  • Provide strategic and operational leadership for the Governance, Legal and Compliance Directorate, ensuring delivery of high-quality, efficient and effective services aligned to institutional priorities.
  • Foster a high-performing, inclusive and values-driven culture, promoting collaboration, accountability, continuous improvement and professional excellence.

As a university citizen

  • Support key student events throughout the year such as Open Days, Clearing, Enrolment and Graduation (essential for all roles)

PERSON SPECIFICATION

All of the following criteria are considered essential unless otherwise noted.

Qualifications

  • Good relevant honours degree, or equivalent.
  • Legal qualification, Chartered Secretary status, or equivalent senior professional standing relevant to the role. (Desirable)
  • Membership of a relevant professional body.  (Desirable)
  • Postgraduate or professional qualification in a relevant subject (e.g. Business Administration, Law, Corporate Governance) (Desirable)

Experience, skills, and knowledge

  • A successful track-record at a strategic senior level in the provision of professional legal, governance and secretariat-related services/ and advice to governors, senior managers and committees in a large, complex organisation.
  • A sound understanding and working experience of governance within a HE or similar institution, company law and other applicable legislation (e.g. consumer legislation).
  • Significant knowledge and experience of relevant compliance frameworks.
  • Experience of supporting Boards, Councils or equivalent governing bodies at senior level.
  • Experience of governance reform, organisational change or institutional improvement.
  • Experience of working with regulatory bodies and governance frameworks, including oversight of compliance and assurance processes
  • Understanding of legal risk, regulatory environments and institutional assurance.
  • Understanding of key compliance areas relevant to the role, including data protection, information governance, complaints and disclosure.
  • Understanding of risk management and organisational resilience.
  • Ability to work within a demanding and deadline driven environment with proven ability to manage their own workload and that of others and project management.
  • Working at senior level in the HE or FE sector with knowledge of HE-specific governance, regulatory, legal and compliance issues.  (Desirable)
